SUBMISSION OF ANNUAL RETURN FORM (HE32)

As per the latest amendments to the Cyprus Companies Law, CAP 113 (Law 149(I)/2018), in case of late filing of the Annual Return (Form HE32) by any of the Cyprus incorporated companies,  the Registrar of Companies, as of 18 December 2019, shall proceed with the imposition of an administrative fine.

 The annual return accompanied by the Financial Statements of the previous year must be filed with the Registrar of Companies within twenty- eight (28) days of the date to which it is made up as each company has an Annual Return Date allocated to it.

Therefore, as from end of January 2020, late submission of annual returns for 2019, will be subject to the following administrative fines:

  • fifty euros (€50) once off; and
  • one euro (€1) per each overdue day during the first 6 months which increases to two euros (€2) per each day if default continues and such fine shall not exceed the amount of five hundred euros (€500).

 Please contact us as soon as possible in order to ensure compliance with the above requirement and avoid any penalties.
